Moody’s Investors Service (Moody’s) hat das Unternehmensrating der Peach Property Group AG, einem Immobilienunternehmen, das sich auf die Investition und Verwaltung von Mietobjekten in Deutschland konzentriert, auf „Ba2“ mit stabilem Ausblick angehoben. Das Rating für nachrangige, unbesicherte Anleihen der Peach Property Group wurde von Moody’s zudem von „Ba3“ auf „Ba2“ angehoben.

Die Heraufstufung des Unternehmensratings spiegelt das deutliche Unternehmenswachstum der Peach Property Group, einen niedrigeren Verschuldungsgrad und eine konservativere Finanzierungsstrategie wider. Moody’s verweist auf das über Akquisitionen deutlich vergrößerte Immobilienportfolio der Peach Property Group sowie die verbesserte Soll-Jahresmieteinnahmen und den höheren Marktwert des Portfolios. Hinzu kommt eine gute Erfolgsbilanz bei der Integration der Zukäufe in ihre operative Plattform, während gleichzeitig weiterhin starke Betriebskennzahlen erwirtschaftet werden konnten. Die Ratingagentur hebt zudem die verbesserte Zielvorgabe für den Verschuldungsgrad hervor.

Moody’s upgrades corporate rating based on strong business growth and improved financial profile

=> Expectation: stable cash flow and maintenance of good liquidity with balanced growth strategy

Moody’s Investors Service (Moody’s) has upgraded the corporate credit rating of Peach Property Group AG, a real estate company focused on investing in and managing rental properties in Germany, to „Ba2“ with a stable outlook. The rating for subordinated, unsecured bonds of Peach Property Group was also raised by Moody’s from „Ba3“ to „Ba2“.

The upgrade of the corporate rating reflects the significant corporate growth of Peach Property Group, a lower leverage ratio and a more conservative financial policy. Moody’s points to Peach Property Group’s significantly increased property portfolio via acquisitions, as well as improved target annual rental income and higher market value of the portfolio. This is complemented by a good track record of integrating acquisitions into its operating platform, while continuing to generate strong operating metrics. The rating agency also highlights the improved leverage target.

Upgrade des Ratings durch FitchRatings auf Basis des verbesserten Finanzprofils

FitchRatings hat das langfristige Emittentenausfallrating (IDR) der Peach Property Group AG, einem Immobilienunternehmen, das sich auf die Investition und Verwaltung von Mietobjekten in Deutschland konzentriert, auf „BB“ mit stabilem Ausblick angehoben. Das Rating der unbesicherten Verbindlichkeiten wurde auf „BB+“ und damit eine Stufe unter Investment Grade angehoben.

Die Heraufstufung spiegelt die erwarteten Verbesserungen des Finanzprofils der Peach Property Group bei EBITDA und Verschuldungsgrad in Verbindung mit den bereits erzielten Verbesserungen des Geschäfts- und Finanzprofils wider. FitchRatings prognostiziert, dass sich das EBITDA der Peach Property Group auf Basis der durch getätigte Akquisitionen weiter steigenden Mieteinnahmen sowie der Skalierbarkeit seiner operativen Plattform weiter deutlich verbessern wird. Zudem nennt FitchRatings die bereits erzielte, stärkere Diversifizierung, das Größenwachstum sowie die verbesserte Rentabilität zusammen mit einer größeren, unbelasteten Vermögensbasis und damit einem besseren Zugang zu weiterem Wachstumskapital als Grund.

Als Grundlage für die Heraufstufung verweist S&P auf den gewachsenen Immobilienbestand der Peach Property Group, den gesunkenen Verschuldungsgrad, die solide operative Leistung im ersten Halbjahr 2021, die Steigerung der Mieteinnahmen um 4,4 Prozent (flächenbereinigt) und die weitere Senkung des Gesamtleerstands auf 7,5 Prozent von 7,9 Prozent. S&P erwartet eine weiterhin gute Nachfrage nach Wohnimmobilien in Deutschland und dadurch eine stabile Cashflow-Generierung, einen robusten Vermietungsgrad und ein anhaltend positives Wachstum der Mieteinnahmen der Peach Property Group auf vergleichbarer Basis.

Rekordgewinn im ersten Halbjahr 2021

Ad hoc Mitteilung gemäss Art. 53 KR

Die Peach Property Group AG, ein Immobilienunternehmen, das sich auf die Investition und Verwaltung von Mietobjekten in Deutschland konzentriert, hat im ersten Halbjahr des laufenden Geschäftsjahres 2021 das beste Halbjahresergebnis ihrer über 20-jährigen Geschichte erwirtschaftet.

Die Gruppe erzielte einen Gewinn vor Steuern von CHF 131,4 Mio. und ein Nachsteuerergebnis von CHF 110,1 Mio. Dies entspricht einem unverwässerten Ergebnis je Aktie (EPS) von CHF 8,14. Der verwässerte EPS beträgt CHF 7,96. Im Vergleichszeitraum erstes Halbjahr 2020 lag der Vorsteuergewinn noch bei CHF 17,1 Mio. Die operative Marge hat sich von 74,9 Prozent zum Jahresende 2020 auf 76,5 Prozent in der Berichtsperiode verbessert.

Das operative Ergebnis I (FFO I) der Peach Property Group beträgt im ersten Halbjahr 2021 CHF 5,1 Mio. Für das gesamte Geschäftsjahr 2021 erwartet die Gruppe einen FFO I von rund CHF 14 Mio. – 18 Mio. nach um außerordentliche Steuereffekten bereinigten CHF 1,7 Mio. in Vorjahr. Die Nettomieteinnahmen betrugen im ersten Halbjahr 2021 CHF 50,2 Mio. im Vergleich zu CHF 27,4 Mio. im Vorjahreszeitraum. Für das gesamte Geschäftsjahr 2021 erwartet die Gruppenleitung Nettomieteinnahmen von rund CHF 108 Mio. – 112 Mio. nach CHF 54,7 Mio. in Geschäftsjahr 2020.

Unternehmensstrategie führt zu positivem Aufwertungsergebnis
Entsprechend ihrer Wachstumsstrategie hat die Peach Property Group ihr Immobilienportfolio im ersten Halbjahr 2021 durch den Erwerb von rund 4.300 Wohneinheiten in Deutschland erweitert. Mit dieser Akquisition erhöhte sich das Gesamtportfolio auf ca. 27 500 Wohneinheiten und einen Gesamtmarktwert von CHF 2,6 Milliarden gegenüber CHF 2,1 Milliarden Ende 2020.

Neben den Skaleneffekten, die sich aus der Akquisition neuer Einheiten ergeben haben, ist die positive Ergebnisentwicklung im Jahr 2020 das Ergebnis positiver Neubewertungen des gesamten Portfolios der Gruppe. Der flächenbereinigte Anstieg der Mieteinnahmen und der Abbau von Leerständen im Portfolio führten zu einem Bewertungsgewinn von CHF 62,4 Millionen. Zudem erzielte die Gruppe einen Bewertungsgewinn aus Akquisitionen von CHF 63,8 Millionen. Peach profitierte von seiner Investitionsstrategie, die sich auf Tier-II-Städte in der Nähe deutscher Metropolen konzentriert, in denen ein erhebliches weiteres Wertsteigerungspotenzial besteht.

Der nach EPRA ermittelte Wert der Netto-Sachvermögen der Peach Property Group AG (Net Tangible Assets, NTA) beträgt im ersten Halbjahr 2021 CHF 63,60 pro Aktie im Vergleich zu CHF 57,29 pro Aktie zum Jahresende 2020. Der ermittelte Wert für den Netto-Wiederherstellungswert der Peach Property Group AG (Net Reinstatement Value, NRV) beträgt CHF 74,55 je Aktie nach 67,92 zum Jahresende 2020.

Verschuldungsgrad und durchschnittliche Zinslast gesenkt
Parallel zum Zukauf konnte die Gruppe im Juni 2021 eine 2,5 Prozent-Pflichtwandelanleihe in Höhe von CHF 180 Mio. erfolgreich platzieren und somit die Eigenkapitalbasis weiter stärken.

Die Peach Property Group reduzierte ihren Verschuldungsgrad (LTV) von 57,5 Prozent zum Jahresende 2020 auf 54,5 Prozent zum 30. Juni 2021. Der Zinsdeckungsgrad (ICR) verbesserte sich vom 1,24-fachen zum Jahresende 2020 auf das 1,4-fache zum Halbjahr 2021. Die durchschnittliche Zinsbelastung konnte per 30.Juni 2021 auf 2,7 Prozent nach 2,9 Prozent zum Jahresende 2020 reduziert werden. Aktuell wird das Unternehmen von Fitch und von Moody´s mit einem Rating von BB- bzw. Ba3 sowie von S&P mit B+, Ausblick positiv, bewertet.

Thorsten Arsan, neuer CFO der Peach Property Group AG: „Wir sehen weiterhin erhebliches Wertsteigerungspotenzial unseres Portfolios und streben mittelfristig einen LTV von unter 50 Prozent an, nachdem wir unser bisheriges Ziel von unter 55 Prozent erreicht haben. Steigende Mieterträge, geringerer Leerstand und verbesserte Betriebsabläufe
Die Peach Property Group erzielte im ersten Halbjahr eine like-for-like Steigerung der Mieterträge aus Wohnen von 4,4 Prozent. Im ersten Halbjahr 2021 belief sich die durchschnittliche Ist-Miete auf CHF 5,68 pro Monat und m2 im Vergleich zu CHF 5,44 (währungsbereinigt) in der Vergleichsperiode. Die durchschnittliche Sollmiete Wohnen des Gesamtportfolios betrug zum Abschlussstichtag CHF 6,11 pro Monat und m2, was im Vergleich zur durchschnittlichen Marktmiete für vergleichbare Objekte in Deutschland von CHF 7,09 einem Aufwertungspotenzial von 16 Prozent entspricht. Gleichzeitig konnte die Anzahl der leerstehenden Wohneinheiten in Prozent des Gesamtbestandes per Stichtag von 7,9 Prozent zum Jahresende 2020 auf 7,5 Prozent zum Halbjahr 2021 gesenkt werden.

In Deutschland stehen den Mietern mittlerweile zwölf Peach Points vor Ort zur Verfügung. Die vollständige Abwicklung von Mieteranliegen inkl. Mängelmeldungen konnte von durchschnittlich rund 7 Tagen (183 Stunden) im Jahr 2020 auf durchschnittlich rund 5 Tage (138 Stunden) im ersten Halbjahr 2021 um 24,5 Prozent weiter verbessert werden. Dadurch wird die Mieterzufriedenheit weiter deutlich unterstützt.

Steigende operative Effizienz
Aufgrund von Skaleneffekten konnten in der Berichtsperiode sowohl der Personalaufwand als auch der übrige Betriebsaufwand in Relation zu den Mieterträgen weiter gesenkt werden. Die Quoten reduzierten sich von 21,1 Prozent beziehungsweise 11,1 Prozent im ersten Halbjahr 2020 auf 16,9 beziehungsweise 8,2 Prozent in der Berichtsperiode. Die Peach-Gruppe beschäftigt derzeit rund 160 Mitarbeitende. Diese verteilen sich auf die Schweiz mit Hauptsitz in Zürich sowie auf Deutschland mit dem Gruppensitz in Köln und dem Service Center in Berlin sowie den mittlerweile zwölf Peach Points.

Durch den Einsatz modernster Verwaltungsmethoden und Technologien wie die SAP-Plattform S/4 HANA für die speziellen Anforderungen von Immobilienunternehmen, etwa beim Mietvertragsmanagement, sieht sich die Peach Property Group hocheffizient aufgestellt. Durch weitere Automatisierungsprozesse sowie perspektivisch dem Einsatz von künstlicher Intelligenz bei Standartprozessen sollen die Verwaltungskosten weiter gesenkt werden.

Keine Belastungen aus Umweltschäden
Die Unwetter und Überschwemmungen vom vergangenen Juli in Nordrhein-Westfalen und Rheinland-Pfalz sind für die Peach Property Group geringfügig ausgelaufen. Mit Ausnahme von Beständen in Eschweiler und zwei weiteren Einzelobjekten im Ruhrgebiet musste die Gruppe keine größeren Schäden verzeichnen. Die Schäden sind nach ersten Abklärungen vollumfänglich durch den bestehenden Versicherungsschutz abgedeckt.

Mit Eingabe vom 18. Juni 2021 stellte der Aktionär der Peach Property Group AG, Ares Management Corporation, im Zusammenhang mit der Emission einer nachrangigen Pflichtwandelanleihe durch Peach Property Group AG bei der Übernahmekommission ein Gesuch betreffend die Ausnahme von der Angebotspflicht. Verfügung der Übernahmekommission

Die Übernamekommission hat in ihrer Verfügung vom 6. Juli 2021 (publiziert auf http://takeover.ch) das Folgende verfügt:

1. Ares Management Corporation wird von der Pflicht befreit, als Folge der Wandlung der nachrangigen Pflichtwandelanleihe (Subordinated Mandatory Convertible Bonds) im Wert von CHF 42 Mio. in 763’636 neue Aktien der Peach Property Group AG den Aktionären der Peach Property Group AG ein öffentliches Übernahmeangebot zu unterbreiten. Diese Ausnahme von der Angebotspflicht wird unter der Bedingung gewährt, dass die Eintragung der neu geschaffenen Aktien der Peach Property Group AG im Handelsregister spätestens bis Ende Januar 2022 erfolgt.

2. Ares Management Corporation wird verpflichtet, die Übernahmekommission gegebenenfalls frühzeitig über die Durchführung einer allfälligen (ausserordentlichen) Generalversammlung der Peach Property Group AG während der Laufzeit der nachrangigen Pflichtwandelanleihe (Subordinated Mandatory Convertible Bonds) zu informieren.

3. Peach Property Group AG wird verpflichtet, das Dispositiv der vorliegenden Verfügung sowie den Hinweis auf das Einspracherecht qualifizierter Aktionäre gemäss Art. 6 und 7 UEV zu veröffentlichen.

4. Diese Verfügung wird am Tag der Veröffentlichung der Peach Property Group AG gemäss Dispositivziffer 3 hiervor auf der Webseite der Übernahmekommission veröffentlicht.

5. Die Gebühr zu Lasten von Ares Management Corporation beträgt CHF 20’000.

Einsprache (Art. 58 UEV)

Ein qualifizierter Aktionär kann gegen die Verfügung der UEK Einsprache erheben. Die Einsprache ist innerhalb von fünf Börsentagen ab Veröffentlichung der Verfügung der UEK bei der UEK (Stockerstrasse 54,8002 Zürich; Fax: +41 44 283 17 40) einzureichen. Der erste Börsentag nach der Publikation der Verfügung der UEK auf der Website der UEK ist der erste Tag der Einsprachefrist. Die Einsprache muss einen Antrag und eine summarische Begründung sowie den Nachweis der qualifizierten Beteiligung enthalten.

Par soumission du 18 juin 2021, l’actionnaire de Peach Property Group AG, Ares Management Corporation, a déposé une demande auprès de la Commission des OPA concernant l’exemption de l’obligation de présenter une offre dans le cadre de l’émission d’un emprunt obligataire convertible subordonné par Peach Property Group AG. Décision de la Commission des OPA

Dans sa décision du 7 juillet 2021 (publiée sur http://takeover.ch), la Commission des OPA a décidé ce qui suit:

1. Ares Management Corporation est exemptée de l’obligation de faire une offre publique d’achat aux actionnaires de Peach Property Group AG suite à la conversion des obligations subordonnées à conversion obligatoire (Pflichtwandelanleihe) d’un montant de 42 millions de francs suisses en 763’636 nouvelles actions de Peach Property Group AG. Cette exemption de l’obligation de présenter une offre est accordée à condition que les actions nouvellement créées de Peach Property Group AG soient inscrites au registre du commerce au plus tard fin janvier 2022.

2. Ares Management Corporation est tenue d’informer la Commission des OPA en temps utile, si nécessaire, de la tenue d’une éventuelle assemblée générale (extraordinaire) de Peach Property Group AG pendant la durée des Obligations Convertibles Obligatoires Subordonnées.

3. Peach Property Group AG publiera le dispositif de la présente décision conformément aux art. 6 et 7 OOPA.

4. La présente décision sera publiée sur le site internet de la Commission des OPA après la publication par Peach Property Group AG conformément au chiffre 3 du présent dispositif.

5. L’émolument à charge de Ares Management Corporation se monte à CHF 20’000.

Die Peach Property Group AG (Börsenkürzel: PEAN, ISIN CH0118530366) gibt die erfolgreiche Platzierung von ungesicherten, nachrangigen Pflichtwandelobligationen in Höhe von CHF 180 Mio. mit Fälligkeit im Dezember 2021 (die „Anleihe“) bekannt. Aufgrund der starken lokalen und internationalen Investorennachfrage hat die Gesellschaft von der Option Gebrauch gemacht, den Nominalbetrag der Anleihe auf CHF 180 Mio. zu erhöhen.

Die Peach Property Group AG (die „Gesellschaft“) beabsichtigt, den Nettoerlös aus dem Angebot zur Finanzierung des kürzlich erfolgten Erwerbs von 4 300 Wohnungen in Nordrhein-Westfalen und Bremen (wie am 27. Mai 2021 angekündigt) (das „Eagle-Portfolio“), sowie für das weitere Unternehmenswachstum zu verwenden.

Die Obligationen werden von der Gesellschaft zu 100% ihres Nennwerts ausgegeben und am 23. Dezember 2021 (der „Fälligkeitstag“) zwingend in neu ausgegebene Namensaktien der Gesellschaft mit einem Nennwert von CHF 1.00 pro Aktie (die „Aktien“) zu einem anfänglichen Wandelpreis von CHF 55.00 gewandelt. Die Obligationen können darüber hinaus jederzeit vom 19. Juli 2021 bis einschliesslich 23. Juli 2021 und vom 20. September 2021 bis einschliesslich 24. September 2021 nach Massgabe der Anleihebedingungen zum Wandelpreis gewandelt werden. Die Obligationen werden ab dem 23. Juni 2021 mit einem Coupon von 2.50% p.a. verzinst, die am Fälligkeitstag ausgezahlt werden, und haben eine Stückelung von CHF 100’000 und ganzzahlige Vielfache von CHF 1’000 darüber hinaus. Der Coupon der Obligationen unterliegt der eidgenössischen Verrechnungssteuer von gegenwärtig 35%.

Zum anfänglichen Wandelpreis sind die Obligationen in 3’272’727 neu auszugebende Aktien wandelbar, was 25.7 % des derzeit ausstehenden Aktienkapitals der Gesellschaft entspricht. Die bei der Wandlung zu liefernden Aktien stammen aus dem auf der Generalversammlung der Gesellschaft am 27. Mai 2021 geschaffenen bedingten Kapital.

Die Zulassung der Anleihe zur Kotierung und zum Handel an der SIX Swiss Exchange wird beantragt, wobei der provisorische Handel voraussichtlich am oder um den 23. Juni 2021 beginnen wird. Die Zahlung und Abwicklung der Obligationen erfolgt voraussichtlich am oder um den 23. Juni 2021 (die „Abwicklung“). Die Aktien sind kotiert und werden nach dem International Reporting Standard an der SIX Swiss Exchange gehandelt.

In Bezug auf das Angebot hat die Gesellschaft einer Lock-up-Sperrfrist für neue eigenkapitalbezogene und aktiengebundene Emissionen zugestimmt, die vorbehaltlich üblicher Ausnahmen 90 Kalendertage nach der Abwicklung endet.

Die Peach Property Group AG (Börsenkürzel: PEAN, ISIN CH0118530366), ein auf Bestandshaltung in Deutschland spezialisierter Investor mit Fokus auf Wohnimmobilien, gibt bekannt, dass sie das am 11. Juni 2021 angekündigte Angebot (das „Angebot“) von ungesicherten, nachrangigen Pflichtwandelobligationen mit Fälligkeit im Dezember 2021 (die „Obligationen“) aufgestockt hat.

Aufgrund der starken Investorennachfrage wurde die Höhe des Angebots von den zuvor angekündigten CHF 120 Mio. (wie am 11. Juni 2021 bekannt gegeben) auf CHF 150 Mio. erhöht, mit der Option, den Nominalbetrag auf bis zu CHF 180 Mio. zu erhöhen.

Wie bereits angekündigt beabsichtigt die Peach Property Group AG (die „Gesellschaft“), den Nettoerlös aus dem Angebot zur Finanzierung des kürzlich erfolgten Erwerbs von 4 300 Wohnungen in Nordrhein-Westfalen und Bremen (wie am 27. Mai 2021 angekündigt) (das „Eagle-Portfolio“) sowie für das weitere Unternehmenswachstum zu verwenden.

Bei der zugrundeliegenden Transaktionsgrösse in Höhe von CHF 150 Mio. und zum anfänglichen Wandelpreis sind die Obligationen in 2 727 272 neu auszugebende Aktien wandelbar, was 21.4% des derzeit ausstehenden Aktienkapitals der Gesellschaft entspricht. Die bei der Wandlung zu liefernden Aktien stammen aus dem auf der Generalversammlung der Gesellschaft am 27. Mai 2021 geschaffenen bedingten Kapital.

Die Angebotsfrist hat am 11. Juni 2021 begonnen und endet voraussichtlich am 18. Juni 2021, 12:00 Uhr MEZ. Die Gesellschaft behält sich das Recht vor, die Angebotsfrist zu verkürzen oder zu verlängern.

In Bezug auf das Angebot hat die Gesellschaft einer Lock-up-Sperrfrist für neue eigenkapitalbezogene und aktiengebundene Emissionen zugestimmt, die vorbehaltlich üblicher Ausnahmen 90 Kalendertage nach der Abwicklung endet.

Die Peach Property Group AG (die „Gesellschaft“) beabsichtigt, den Nettoerlös aus dem Angebot zur Finanzierung des kürzlich erfolgten Erwerbs von 4 300 Wohnungen in Nordrhein-Westfalen und Bremen (wie am 27. Die Obligationen werden von der Gesellschaft zu 100 % ihres Nennwerts ausgegeben und am 23. Dezember 2021 (der „Fälligkeitstag“) zwingend in neu ausgegebene Namensaktien der Gesellschaft mit einem Nennwert von CHF 1.00 pro Aktie (die „Aktien“) zu einem anfänglichen Wandelpreis von CHF 55.00 gewandelt. Die Obligationen können darüber hinaus jederzeit vom 19. Juli 2021 bis einschliesslich 23. Juli 2021 und vom 20. September 2021 bis einschliesslich 24. September 2021 nach Massgabe der Anleihebedingungen zum Wandelpreis gewandelt werden. Die Obligationen werden ab dem 23. Juni 2021 mit einem Coupon von 2.50% p.a. verzinst, die am Fälligkeitstag ausgezahlt werden, und haben eine Stückelung von CHF 100 000 und ganzzahlige Vielfache von CHF 1 000 darüber hinaus. Der Coupon der Obligationen unterliegt der eidgenössischen Verrechnungssteuer von gegenwärtig 35%.

Bei der zugrundeliegenden Transaktionsgröße in Höhe von CHF 120 Mio. und zum anfänglichen Wandelpreis sind die Obligationen in 2 181 818 neu auszugebende Aktien wandelbar, was 17.2% des derzeit ausstehenden Aktienkapitals der Gesellschaft entspricht. Die bei der Wandlung zu liefernden Aktien stammen aus dem auf der Generalversammlung der Gesellschaft am 27. Mai 2021 geschaffenen bedingten Kapital.

Die Gesellschaft hat von ihren Hauptaktionären Ares Management Corporation, ZBG Capital sowie von den neuen Investoren Alpen Partners und Crossinvest, unwiderrufliche Verpflichtungserklärungen bzw. ausdrückliche Interessensbekundungen zum Kauf der Obligationen in einem Gesamtbetrag von CHF 120 Mio. erhalten.

Die Angebotsfrist beginnt mit sofortiger Wirkung und endet voraussichtlich am 18. Juni 2021, 12:00 MEZ. Die Gesellschaft behält sich das Recht vor, die Angebotsfrist zu verkürzen oder zu verlängern.

Das Angebot besteht aus (i) einem öffentlichen Angebot in der Schweiz entweder an „professionelle Kunden“ gemäss dem Schweizer Finanzdienstleistungsgesetz („FIDLEG“) oder anderweitig und (ii) einer Privatplatzierung an qualifizierte Anleger in bestimmten anderen Ländern ausserhalb der Schweiz, den Vereinigten Staaten von Amerika, Kanadas, Australiens, Südafrikas und Japans oder in anderen Ländern, in denen ein Angebot gesetzeswidrig wäre, basierend auf Regulation S des US Securities Act von 1933 in der jeweils gültigen Fassung (der „Securities Act“) sowie in Beachtung der Gesetze und Regulierungen in den betreffenden Ländern, wo das Angebot stattfindet.

Die Zulassung der Anleihe zur Kotierung und zum Handel an der SIX Swiss Exchange wird beantragt, wobei der provisorische Handel voraussichtlich am oder um den 23. Juni 2021 beginnen wird. Die Zahlung und Abwicklung der Obligationen erfolgt voraussichtlich am oder um den 23. Juni 2021 (die „Abwicklung“). Die Aktien sind kotiert und werden nach dem International Reporting Standard an der SIX Swiss Exchange gehandelt.

In Bezug auf das Angebot hat die Gesellschaft einer Lock-up-Sperrfrist für neue eigenkapitalbezogene und aktiengebundene Emissionen zugestimmt, die vorbehaltlich üblicher Ausnahmen 90 Kalendertage nach der Abwicklung endet.

In Zusammenhang mit dem Angebot wurde und wird kein Prospekt veröffentlicht.
