Peach Property Group expands real estate portfolio in North Rhine-Westphalia

  • Acquisition of 85 fully-let residential units in Mülheim an der Ruhr as a complement to portfolio in North Rhine-Westphalia
  • Direct proximity to portfolio in Oberhausen; joint management increases efficiency
  • Peach Property Group’s portfolio of residential units grows to 4,328 units
  • Annual target rental income of the entire investment portfolio increases to CHF 22.4 million

 

Zurich, 13 July 2017 – Peach Property Group, an investor specialising in the management of residential property in Germany, is further expanding its real estate portfolio in North Rhine-Westphalia. The acquisition of 85 apartments in Mülheim an der Ruhr, in direct proximity to the recently acquired portfolio in Oberhausen, takes the number of residential units on Peach Property Group’s books to a total of 4,328 units. The corresponding purchase agreement has been recently notarized and the transaction is expected to be completed in September 2017. It has been agreed not to disclose the purchase price.

The newly acquired apartments offer residential space of around 6,800 m2 and are fully let. The annual net base rent totals around EUR 500 thousand (almost CHF 540 thousand). Most of the residential units have been renovated during the past few years and are thus in good structural condition. The apartments are in a centrally located building complex surrounded by an attractive outdoor area within a spacious park-like garden.

Zürich, 13. Juli 2017 – Die Peach Property Group, ein auf Bestandshaltung in Deutschland spezialisierter Investor mit Fokus auf Wohnimmobilien, baut ihr Immobilienportfolio in Nordrhein-Westfalen weiter aus. Durch den Kauf von 85 Wohnungen in Mülheim an der Ruhr in unmittelbarer Nähe zum unlängst erworbenen Portfolio in Oberhausen steigt die Anzahl der Wohneinheiten im Bestand der Peach Property Group auf insgesamt 4.328 Einheiten. Der entsprechende Kaufvertrag wurde kürzlich notariell beurkundet, mit dem Abschluss der Transaktion wird im September 2017 gerechnet. Über den Kaufpreis wurde Stillschweigen vereinbart.

Die neu erworbenen Wohnungen verfügen über eine Wohnfläche von insgesamt rund 6.800 Quadratmetern und sind vollständig vermietet. Die jährliche Jahresnettokaltmiete beläuft sich auf rund TEUR 500 (knapp TCHF 540). Die Wohneinheiten sind in einem guten baulichen Zustand und wurden in den vergangenen Jahren mehrheitlich saniert. Die Wohnungen befinden sich in einem zentral gelegenen Gebäudekomplex mit attraktivem Aussenbereich und grosszügigen Grünanlagen.

Zürich, 12. Juli 2017 – Die Peach Property Group, ein auf Bestandshaltung in Deutschland spezialisierter Investor mit Fokus auf Wohnimmobilien, hat sich einen Konsortialkredit von deutschen Sparkassen und Volksbanken von bis zu EUR 60 Mio. für ein beschleunigtes Wachstum gesichert. In einem ersten Schritt wurden rund EUR 30 Mio. zur Verfügung gestellt. Das unbesicherte Darlehen wird zum 5 Jahres Midswap Satz plus 3,25 Prozent verzinst und hat eine Laufzeit von 5 Jahren. Arrangiert wurde die Transaktion durch das Kompetenzcentrum Corporate Finance der Kreissparkasse Biberach. Die neu vereinbarte Finanzierung dient als Ergänzung zu den üblichen – grundpfandrechtlich gesicherten – Bankdarlehen beim Erwerb von Immobilienportfolios.

Im Zuge des fortschreitenden Portfolioausbaus der Gruppe kann das vereinbarte Kreditvolumen auf bis zu EUR 60 Mio. erhöht werden. Die Peach Property Group beabsichtigt, die zusätzlichen finanziellen Mittel für die Akquisition von Wohnimmobilien in Deutschland zu verwenden und damit die Anzahl der Wohnungen im Bestand weiter auszubauen. Bereits seit Jahresbeginn 2017 konnte das Portfolio um mehr als ein Drittel auf insgesamt 4.243 Wohneinheiten erhöht werden.

Peach Property Group secures growth financing

  • German Sparkasse and Volksbank institutes finance ongoing expansion through a syndicated loan with a volume of up to EUR 60 million
  • In the first stage around EUR 30 million will be provided with an increase option
  • Interest rate for financing 3.25% plus 5-Y-Midswap with a 5-year term
  • Transaction arranged by Kreissparkasse Biberach’s center of competence for Corporate Finance

Zurich, 12 July 2017 – Peach Property Group, an investor specialising in the management of residential property in Germany, has secured a syndicated loan from German Sparkasse and Volksbank institutes of up to EUR 60 million to accelerate its growth. In a first stage around EUR 30 million have been provided. This unsecured loan bears an interest rate of 5-Y-Midswap plus 3.25% per year and has a 5-year term. The transaction was arranged by Kreissparkasse Biberach’s center of competence for Corporate Finance. The newly agreed financing will supplement standard bank mortgages when acquiring real estate portfolios.

As part of the ongoing expansion of the Group’s portfolio, the credit volume can be increased to up to EUR 60 million. Peach Property Group intends to use the additional funding to acquire residential property in Germany and thus to further expand the number of apartments on its books. The Group has already increased its portfolio by more than one third since the beginning of 2017 to a total of 4,243 residential units.

Peach Property Group AG: Annual General Meeting approves all proposals

Zurich, 11 May 2017 – The shareholders of Peach Property Group AG, an investor specialising in the management of residential property in Germany, approved all proposals submitted by the Board of Directors with clear majorities at the today’s Annual General Meeting in Zurich. Overall, 30 percent of the Company’s voting capital was represented at the meeting.

Among others, the General Meeting has resolved an increase of conditional capital from CHF 115,893 to CHF 2,250,000. Furthermore, Reto A. Garzetti was re-elected as President of the Board of Directors. The other two members of the Board, Peter E. Bodmer and Dr. Christian De Prati, were re-elected as well for another year term of office.

The shareholders further approved a resolution not to pay a dividend. The funds shall be invested in the Group’s further growth in its core business of residential property in Germany.

Peach Property Group AG: Generalversammlung stimmt sämtlichen Anträgen zu

 

Zürich, 11. Mai 2017 – Die Aktionäre der Peach Property Group AG, einem auf Bestandshaltung in Deutschland spezialisierten Investor mit Fokus auf Wohnimmobilien, haben an der heutigen Generalversammlung in Zürich alle Anträge des Verwaltungsrats mit deutlicher Mehrheit angenommen. Insgesamt waren 30 Prozent des stimmberechtigten Aktienkapitals vertreten.

Unter anderem wurde die Anhebung des bedingten Kapitals von CHF 115.893 auf CHF 2.250.000 beschlossen. Weiter wurden der Verwaltungsratspräsident Reto A. Garzetti und die Mitglieder des Gremiums, Peter E. Bodmer und Dr. Christian De Prati, für ein weiteres Amtsjahr bestätigt.

Auf die Ausschüttung einer Dividende wurde antragsgemäss verzichtet, um die Mittel für den weiteren Portfolioausbau von Wohnimmobilien in Deutschland zu nutzen.

Peach Property Group resolves capital increase; Kreissparkasse Biberach becomes new anchor investor with 7.8% shares

  • 422,554 new registered shares issued from authorised capital
  • Kreissparkasse Biberach becomes Peach Property Group AG’s second largest shareholder with 7.8%
  • Peach Property Group AG’s free float remains at a high 70%
  • Proceeds will be used to finance acquisitions in residential real estate in Germany

  Zurich, 4 April 2017 – Peach Property Group AG has resolved to perform a capital increase to reinforce its institutional investor base and to finance the further expansion of the Group. 422,554 new registered shares of Peach Property Group AG will be issued from the authorised capital, each with a nominal value of CHF 1.00, while excluding shareholders’ subscription rights, as part of a private placement. The issue price corresponds to the volume-weighted average of Peach Property Group AG’s share price in the past 60 trading days.

All of the 422,554 new registered shares have been subscribed by Kreissparkasse Biberach. The gross proceeds from the issue totals CHF 6.9 million. Peach Property Group AG’s General Meeting in May 2015 resolved to create authorised capital in the amount of 2,000,000 shares. The company is planning to issue these shares from this authorised capital; the other shares from the authorised capital will expire on 8 May 2017. The funds from the capital increase are to be used to further expand the portfolio of residential properties, focusing on B-locations in Germany. The Group was able to increase its portfolio of residential properties by more than one third to 4,243 units at the start of March 2017, thus increasing its annualized target rental income to CHF around 22 million.

Kreissparkasse Biberach will acquire an interest of 7.8% in Peach Property Group AG and thus become the company’s second largest shareholder after its CEO Dr. Thomas Wolfensberger. Kreissparkasse Biberach plans to hold a long-term interest in Peach Property Group AG as part of its investment strategy.

This placement increases Peach Property Group AG’s share capital from CHF 4,991,923 to CHF 5,414,477. This corresponds to an increase in the previous share capital of around 8.5%. The first day of trading of new shares on SIX Swiss Exchange is 7 April 2017.

 Zürich, 4. April 2017 – Die Peach Property Group AG hat zur Stärkung der institutionellen Investorenbasis und zur Finanzierung der weiteren Expansion die Durchführung einer Kapitalerhöhung beschlossen. Im Rahmen einer Privatplatzierung werden unter Ausschluss des Bezugsrechts der Aktionäre 422.554 neue Namensaktien der Peach Property Group AG mit einem Nennwert von je CHF 1,00 aus dem genehmigten Kapital ausgegeben. Der Ausgabekurs entspricht dem volumengewichteten Durchschnitt des Aktienkurses der Peach Property Group AG der vorangehenden 60 Handelstage.

Sämtliche neuen 422.554 Namensaktien wurden von der Kreissparkasse Biberach gezeichnet. Der Bruttoemissionserlös beläuft sich auf CHF 6.9 Mio. Die Generalversammlung der Peach Property Group AG hatte im Mai 2015 die Schaffung eines genehmigten Kapitals im Umfang von 2.000.000 Aktien beschlossen. Die Gesellschaft plant, davon die genannte Aktienanzahl zu emittieren; die übrigen Aktien aus dem genehmigten Kapital werden am 8. Mai 2017 verfallen. Die Mittel aus der Kapitalerhöhung sollen für den weiteren Ausbau des Wohnbestands mit dem Fokus auf B-Städte in Deutschland genutzt werden. Erst Anfang März 2017 konnte die Gruppe ihren Wohnungsbestand um mehr als einen Drittel auf 4.243 Einheiten erhöhen und damit die annualisierten Soll-Mieteinnahmen auf rund CHF 22 Mio. steigern.

Die Kreissparkasse Biberach wird sich durch die Transaktion mit 7,8% Prozent an der Peach Property Group AG beteiligen und wird somit nach dem CEO Dr. Thomas Wolfensberger zweitgrösster Aktionär der Gesellschaft. Die Kreissparkasse plant, sich im Rahmen ihrer Engagementstrategie langfristig bei der Peach Property Group AG zu beteiligen.

Mit der Platzierung erhöht sich das Aktienkapital der Peach Property Group AG von CHF 4.991.923 auf CHF 5.414.477. Dies entspricht einer Erhöhung um rund 8,5 Prozent des bisherigen Aktienkapitals. Der erste Handelstag der neuen Aktien an der SIX Swiss Exchange ist der 7. April 2017.

Peach Property Group publishes final figures for 2016: Profits soar to CHF 10.4 million with significant expansion in residential portfolio

  • Earnings after taxes vastly improved to CHF 10.4 million after CHF 1.2 million in the previous year
  • Rental income up by over 7% to CHF 9.2 million thanks to portfolio expansion and reduction of vacancies, residential property accounts for 85%
  • Equity ratio at market values leaps from 33% to 45%
  • NAV at market values after deferred taxes increases by 21% to CHF 23.50 per share
  • Expansion to continue in 2017

 Zurich, 21 March 2017 – Peach Property Group’s profits have soared according to final figures for fiscal year 2016. Earnings after taxes totalled CHF 10.4 million in 2016, a huge increase compared to the previous year (CHF 1.2 million). Earnings before taxes were also significantly higher than in the previous year (CHF 3.3 million) at CHF 15.5 million.

During the period under review Peach Property Group acquired a total of four residential portfolios in Germany and more than doubled its residential units to a total of 3,129 units, up by a good 1,600 units. As a result of this expansion to the portfolio as well as a reduction in vacancy rates, rental income in 2016 increased by more than 7% to CHF 9.2 million. At the same time the market value of the investment properties rose from CHF 218 million in the previous year to CHF 226 million during the course of the year. This increase was achieved despite the sale of the Gretag site in Switzerland and the commercial property “Erkrath Retail” in Germany for more than CHF 120 million in total. As a result of these changes to the portfolio, residential properties accounted for almost 85% of the target rental income at the end of 2016.

Development properties were further reduced in line with the strategy: The last apartments in the “Living 108” project in Berlin were sold and handed over in 2016. All sold apartments of the projects “yoo berlin” and “H36” in Hamburg have also been handed over; there were only four respectively one apartments in these projects still left for sale at the end of the year. In the “Wollerau Park” project nearby Zurich, apartments with a value of CHF 58 million were sold or reserved and construction was started in 2016. These transactions account for almost 65% of the anticipated sales volume of around CHF 89 million.

On the costs side, the direct costs of the investment properties were further optimized, as were the Group’s operating costs. For example, the direct costs for investment properties fell by around 5% despite the higher rental income. Operating costs were reduced by around 8%. Optimising the staff structure as part of the focus on investment property management allowed personnel expenses to be reduced by almost 10% to CHF 4.8 million.

The strong increase in profits and the increase in the issued volume of the hybrid bond by almost CHF 25 million in 2016 resulted in a significant increase in equity on the balance sheet date – up to around CHF 147.8 million after CHF 114.0 million one year before. The repayment of the EUR bond in 2016, which had a final outstanding volume of EUR 46.7 million, substantially reduced the Peach Property Group’s borrowings. The Group’s total liabilities were reduced by CHF 47.9 million to CHF 202.3 million during the course of the financial year 2016. This resulted in a decrease of interest expenses by a total of around 25%. In line with the Group’s focus on investment properties and the continued attractive interest rates, the maturity structure of the Group’s financing was adjusted: at the end of 2016, 72% of the borrowings were long-termed (after 18% one year before).. The equity ratio (IFRS) soared to 42% on 31 December 2016 compared to 31% at the end of 2015. In terms of market value, the increase was to 45% from the previous 33%. The NAV per share by market values is CHF 23.50 – up 21% year-on-year.

Peach Property Group has confirmed the positive outlook for 2017 and is expecting its profitable growth to continue in the current financial year. The simple fact that the portfolio in Kaiserslautern will be consolidated for the full year, and also the integration of the recently announced acquisition in Oberhausen will substantially increase rental income. The portfolio of investment properties is to be further expanded, focusing on residential properties in Germany’s B cities, vacancy rates are to be reduced and rental income increased. Operating costs are to remain constant.

We were recently able to acquire a further 1,114 apartments in North Rhine-Westphalia, increasing our annualized target rental income to around CHF 22 million. As a result, we are significantly closer to reaching our short to medium-term target of having 5,000 apartments in our portfolio of investment properties. We will reduce the share of development projects in our portfolio substantially once again with the conclusion of the Wollerau Park project in Switzerland at the beginning of 2018”.

Zürich, 21. März 2017 – Die Peach Property Group hat nach endgültigen Zahlen im Geschäftsjahr 2016 einen Gewinnsprung erzielt. Das Ergebnis nach Steuern lag im abgelaufenen Geschäftsjahr mit CHF 10,4 Mio. erheblich über dem Vorjahresniveau von CHF 1,2 Mio. Das Ergebnis vor Steuern überstieg wie vorab bereits gemeldet mit CHF 15,5 Mio. das Vorjahresergebnis von CHF 3,3 Mio. ebenfalls signifikant.

Im Berichtszeitraum hat die Peach Property Group insgesamt vier Wohnportfolien in Deutschland erworben und den Bestand dadurch um gut 1.600 Wohnungen auf insgesamt 3.129 Einheiten mehr als verdoppelt. Aufgrund dieser Bestands-Erweiterung sowie durch den Leerstandsabbau erhöhten sich die Mieteinnahmen in 2016 im Vergleich zum Vorjahr um gut 7 Prozent auf CHF 9,2 Mio. Gleichzeitig konnte der Marktwert der Bestandsimmobilien im Jahresverlauf auf CHF 226 Mio. von CHF 218 Mio. im Vorjahr gesteigert werden. Diese Steigerungen wurden trotz der Verkäufe des Gretag Areals in der Schweiz und der Gewerbeimmobilie „Erkrath Retail“ in Deutschland im Umfang von insgesamt über CHF 120 Mio. erreicht. Durch diese Portfolioumschichtungen beläuft sich der Wohnanteil an den Soll-Mieteinnahmen Ende 2016 auf knapp 85 Prozent.

Die Entwicklungsliegenschaften wurden strategiekonform weiter reduziert: So wurden 2016 beim Projekt „Living 108“ in Berlin die letzten Wohnungen verkauft und übergeben. Auch bei den Projekten „yoo berlin“ sowie „H36“ in Hamburg wurden alle verkauften Wohnungen übergeben; dort verblieben zum Jahresende nur noch vier bzw. eine Wohnung zum Verkauf. Beim Projekt  „Wollerau Park“ nahe Zürich schliesslich wurden in 2016 Wohnungen im Wert von CHF 58 Mio. beurkundet oder reserviert und mit dem Bau begonnen. Die Abschlüsse entsprechen knapp 65 Prozent des erwarteten Vertriebsvolumens von rund CHF 89 Mio.

Auf der Kostenseite wurden sowohl bei den direkten Kosten der Bestandsliegenschaften als auch bei den operativen Kosten der Gruppe weitere Optimierungen erreicht. So sanken die direkten Kosten der Bestandshaltung trotz der erhöhten Mieteinnahmen um rund 5 Prozent. Bei den operativen Kosten wurde eine Reduktion von rund 8 Prozent erreicht. Unter anderem konnte der Personalaufwand durch die Optimierung der Personalstruktur im Rahmen der Ausrichtung auf die Bestandshaltung um knapp 10 Prozent auf CHF 4,8 Mio. verringert werden.

Die starke Gewinnsteigerung sowie die Erhöhung des emittierten Volumens der Hybridanleihe in 2016 um knapp CHF 25 Mio. führten zu einer signifikanten Steigerung des Eigenkapitals zum Bilanzstichtag auf rund CHF 147,8 Mio. nach CHF 114,0 Mio. ein Jahr zuvor. Durch die Rückzahlung der EUR-Anleihe in 2016 mit einem zuletzt ausstehenden Volumen von EUR 46,7 Mio. reduzierten sich die Verbindlichkeiten der Peach Property Group deutlich. Das gesamte Fremdkapital des Konzerns konnte im Laufe des Geschäftsjahres 2016 um CHF 47,9 Mio. auf CHF 202,3 Mio. verringert werden. Damit einher ging eine Reduktion der Zinsaufwendungen um insgesamt rund 25 Prozent. Parallel zur Ausrichtung auf Bestände sowie dem nach wie vor attraktiven Zinsumfeld wurde auch die Fälligkeitsstruktur der Finanzierungen angepasst: Zum Jahresende 2016 waren 72 Prozent der Finanzverbindlichkeiten langfristig gebunden (nach 18 Prozent im Jahr zuvor). Die Eigenkapitalquote nach IFRS kletterte per 31. Dezember 2016 auf 42 Prozent von 31 Prozent zum Jahresende 2015. Nach Marktwerten ergab sich eine Steigerung auf 45 Prozent von zuvor 33 Prozent. Pro Aktie ergibt sich ein NAV nach Marktwerten von CHF 23,50 – eine Steigerung von 21 Prozent gegenüber dem Vorjahr.

Die Peach Property Group bestätigt den positiven Ausblick für 2017 und erwartet für das laufende Geschäftsjahr eine Fortsetzung des profitablen Wachstums. Allein durch die ganzjährige Konsolidierung des Portfolios in Kaiserslautern sowie die Integration der kürzlich bekannt gegebenen Akquisition in Oberhausen werden die Mieteinnahmen deutlich steigen. Der Bestand soll ferner mit dem Schwerpunkt auf Wohnimmobilien in deutschen B-Städten weiter ausgebaut, der Leerstand verringert und die Mieteinnahmen erhöht werden. Dies bei konstanten operativen Kosten.
