Acquisition of 382 apartments brings investment portfolio to around 8,400 units

> Acquisition of a residential real estate portfolio with five locations in North Rhine-Westphalia and Lower Saxony

Peach Property Group, an investor specialising in the management of residential property in Germany, is further expanding its real estate portfolio. The purchase of a portfolio with 382 apartments in North Rhine-Westphalia and Lower Saxony has lifted the group’s residential portfolio to around 8,400 units with a residential area of around 564,000 square meters. Peach Property Group’s annual target rental income will increase to around CHF 41.7 million p.a. as a result of the acquisition, up from the present CHF 40 million. The contract for the acquisition of the apartments has been notarized yesterday and the transaction is expected to close at the beginning of the fourth quarter of 2018. It has been agreed not to disclose the seller or the purchase price.

Almost 60 percent of the apartments in the new portfolio are located in Bochum (North Rhine-Westphalia), in direct proximity of the Ruhr University. The portfolio is also located in Duisburg, Oerlinghausen by Bielefeld and Helmstedt. An average of around 95 percent are let. In addition to the core portfolio of 382 apartments, Peach Property Group is acquiring further 79 units which are intended for resale.

As has already been successfully implemented for other residential portfolios, Peach Property Group intends to increase the value of the apartments through a focussed positioning in combination with adequate maintenance work for the new apartments. The properties were built between 1926 and 1979 and are in general in a good condition. Still, Peach Property Group is planning to make certain Capex investments, in particular in Bochum, which will further increase the comfort for its tenants. The locations will be integrated into the existing management clusters in Oberhausen, Bielefeld and North Hesse. The group believes that this will result in substantial synergy effects.

CHF 60 million of 1.75% hybrid warrant bond placed; medium-term target portfolio increased to 11,000 apartments

The Board of Directors of Peach Property Group AG, an investor specialising in the management of residential property in Germany, has decided to issue bonds with a total volume of CHF 60 million after having taken note of the final placement result for its 1.75% hybrid warrant bond (“Bond”, Swiss Security No. 41737602; ISIN CH0417376024). Listing for the bonds (cum, ex and option warrants only) on the SIX Swiss Exchange has been applied for and the first day of trading is planned for 25 June 2018.

The hybrid warrant bond has an unlimited term, and Peach Property Group AG can terminate it for the first time on 22 June 2023. The interest coupon amounts to 1.75% through this date and afterwards the prevailing capital market interest rate (minimum zero) plus 9.25% p.a. With each bond with a nominal value of CHF 1,000 the bondholder receives 4 warrants for the purchase of registered shares of Peach Property Group AG. Every warrant entitles the holder to subscribe for one registered share at an exercise price of CHF 25.00 during the exercise period from 25 June 2018 up to and including 25 June 2021.

Peach Property Group intends to use the newly raised funds of CHF 60 million for the further extension of its existing real estate portfolio in Germany and for the redemption of higher-interest liabilities. Peach Property Group has recently notarised the acquisition of 1,066 residential units in Baden-Württemberg and intends to continue expanding its real estate portfolio. This is progressing faster than had originally been forecast. Hence, its goal for the medium term the real estate portfolio has been increased to around 11,000 apartments – up from the 9,000 units previously envisaged. At present, the investment portfolio currently totals more than 8,000 units with a rental area of 518,000 square meters and annual target rent of more than CHF 40 million.

Target volume of hybrid warrant bond issue increased due to high demand

The Board of Directors of Peach Property Group AG, an investor specializing in the management of residential property in Germany, has decided to increase the target volume of its subordinated hybrid warrant bond (“Bonds”, Swiss Security nr. 41737602; ISIN CH0417376024) from CHF 50 million to up to CHF 100 million due to high demand.

The Company recorded a significant volume of subscriptions shortly after the beginning of the open placement period for shareholders and new investors, which runs through 15 June 2018 (noon CET). Additional shareholders and new investors have also expressed their interest in subscribing to the Bond. Any Bonds that have not been subscribed for during the pre-subscription period will therefore be offered to other interested shareholders and investors. An application for listing on the SIX Swiss Exchange has been submitted, with first trading day planned for 25 June 2018.

The subordinated hybrid warrant bond has an unlimited term and may be terminated by Peach Property Group AG no earlier than as of 22 June 2023. The interest coupon amounts to 1.75% p.a. until 22 June 2023 and afterwards to the then prevailing capital market interest rate (minimum zero) plus 9.25% p.a. Acquisition of 1,066 apartments in Baden-Württemberg; portfolio grows to 8,000 apartments

Peach Property Group, an investor specialising in the management of residential property in Germany, is further expanding its real estate portfolio. The purchase agreement for the acquisition of 1,066 residential units in Heidenheim an der Brenz, Baden-Württemberg, has been notarised. As a result, the Group’s total residential units increased by 15 percent to more than 8,000 units. The rentable residential space has increased from 445,000 square meters to 518,000 square meters. It has been agreed not to disclose the purchaser or the purchase price; the transaction is expected to close in the third quarter of 2018.

The new residential portfolio, which also includes 9 commercial units and 771 parking places, is in three locations in the greater Heidenheim region; around 98 percent in the city itself. Heidenheim has recorded constant growth in its population over the past few years. The district is economically very strong with several multinational groups headquartered in the area such as Voith, Hartmann and Edelmann. With the new acquisition Peach Property Group expands its clusters of residential properties to southern Germany.

The newly acquired properties were built between 1905 and 2006 and are in good condition thanks to continuous investments. Peach Property Group is planning to further increase the properties’ attractiveness through targeted investments to leverage the existing potential. The majority of the apartments are to stay in Peach Property Group’s portfolio over the long term – a minority is suitable for privatisation. The portfolio has an average rental level of around 95 percent. The annual target rent currently totals around CHF 6.5 million (EUR 5.5 million). Through the acquisition the annual target rental income from Peach Property Group’s investment portfolio has increased by around 18 percent from its current CHF 34.0 million to more than CHF 40.0 million.

AGM approves all proposals – financial and real estate expert Kurt Hardt appointed to the Board of Directors

The shareholders of Peach Property Group, an investor specialising in German real estate with a focus on residential property, today approved all proposals made by the Board of Directors at today’s general meeting in Zurich with a clear majority. A total of around 47 percent of the share capital was represented.
In the person of Kurt Hardt an acknowledged expert for the German financial and real estate markets and a member of the Managing Board of Kreissparkasse Biberach has been elected to the Board of Directors. The Board has thus been increased from three to four members reflecting the dynamic growth enjoyed by Peach Property Group. The Company believes that adding Kurt Hardt to its Board of Directors will provide a valuable impetus for growing its business and for the continued expansion of the Group’s real estate holdings in Germany. In addition, the Chairman of the Board of Directors, Reto Garzetti, and the Board members Peter Bodmer and Dr. Christian De Prati were confirmed in office for a further year.
No dividend will be disbursed in line with the proposal in order to use the funds for the further expansion the portfolio of residential properties in Germany. Also in connection with the Group’s further growth, conditional capital was increased by around CHF 400,000 to CHF 2.7 million to allow the Group to react flexibly to opportunities which may present themselves.

Profits increase to CHF 41.9m and expansion of residential portfolio to around 7,000 units with target rent of CHF 34m

Peach Property Group, an investor specialising in German real estate with a focus on residential property has recorded new all-time high figures for both its earnings after taxes as well as its rental income according to final figures for fiscal year 2017. Earnings after taxes almost quadrupled during the past fiscal year to CHF 41.9 million, up from CHF 11.6 in 2016. Pre-tax earnings improved to CHF 51.5 million and thus also significantly exceeded the previous year’s earnings of CHF 17.0 million, as already reported when provisional figures were published. This increase is in particular due to the substantial expansion of the investment portfolio, the tenant centred and value-adding asset management as well as higher rental income and rental success. In addition, one-off factors, in particular currency translation gains in the amount of more than CHF 7 million also had a positive impact on earnings.

During the last year Peach Property Group further drove the expansion of its investment portfolio in line with its strategy. The Group concluded several larger transactions to increase its portfolio of residential properties significantly to around 7,000 units with residential space of almost 445,000 square meters, compared to 3,129 units with 210,000 square meters of residential space in 2016. In total, more than 3,800 residential units were acquired in the fiscal year 2017, of which the ownership of around 2,400 units was transferred in 2017. The portfolio of residential properties increased by 1,114 units alone with the acquisition of a portfolio in Oberhausen und Duisburg. In addition, several properties were acquired in the Bielefeld region, in Bochum, Kaiserslautern as well as in the states of Hesse and Thuringia. Peach Property Group aimed to specifically reinforce its position at locations in which the Group already had existing property clusters.

As a result of the expansion of the investment portfolio as well as the reduction in the vacancy rate rental income in 2017 increased year-on-year by almost 83 percent to CHF 16.3 million. At the same time the market value of the investment properties doubled to CHF 452 million as of 31 December 2017 from CHF 226 at the end of 2016; the market value of the total portfolio increased in 2017 by 58 percent to CHF 520 million compared to the previous year. As a result, investment properties in German B-cities already account for more than 85 percent of the total portfolio.

Vacancies have been further reduced thanks to extensive renovations and optimizations of the portfolio properties. As a result, the vacancy rate had improved significantly from 20.3 percent in the previous year to 16.3 percent at the end of this year’s reporting period- excluding the properties under renovation in Neukirchen-Vluyn and Fassberg, vacancies even dropped to 8.6 percent. The increase in annualised target rental income for all properties is up 109 percent year-on-year to CHF 34 million. On the cost side, Peach Property Group was able to take advantage from its existing operating platform and closed the year with a significantly under-proportional increase in its cost base.

Development properties were reduced further in 2017 in line with the strategy: In the “Wollerau Park” project close to Zurich more than 80 percent of the apartments had already been sold by the end of 2017; further notarizations followed at the beginning of 2018, so that currently around 90 percent of the units have sold. The first hand-overs have been taking place starting February. With regards to the “Peninsula” project in Wädenswil, Peach Property Group is planning to file for the building permission by end of March 2018. The projects in Germany, first and foremost “yoo berlin” and “H36” were completed in 2017. All of the apartments were sold and handed over to their owners with the exception of one apartment in Berlin.

In addition to the strong increase in earnings and rental income Peach Property Group also further optimised its financing structure in 2017. The Group significantly reinforced its equity base thanks to its strong profit growth, the full placement of a convertible hybrid bond in the amount of CHF 59 million and a capital increase. Equity at market value increased by more than CHF 100 million as of 31 December 2017 to CHF 272.2 million, compared to CHF 165.3 million at the end of 2016; according to IFRS the respective figures are CHF 258.5 and 148.9 million respectively. The equity ratio remained practically constant at 42.8 percent (at market) and 41.6 percent respectively (IFRS), irrespective of the strong expansion in the property portfolio and thus also total assets. On a per share basis equity at market increased to CHF 30.38 compared to CHF 23.25 in the previous year.

In parallel with the focus on long-term investment management, as well as the continued attractive interest rate environment, the maturity structure of the financial liabilities was further shifted to the long term. At the end of 2017 almost 80 percent of financial liabilities were non-current, compared to a good 72 percent in the previous year.

Peach Property Group has confirmed the positive outlook for 2018 and is anticipating its dynamic growth to continue in the current fiscal year. Rental income will increase significantly in 2018 as a result of the full-year contribution of the properties acquired in 2017. The share of the development portfolio will continue to decrease in 2018 in line with the Group’s strategy. Most prominently, the development project “Wollerau Park” by Zurich will be completed in 2018 and the units sold will be handed over to its purchasers.

The Board will be elected by the shareholders on 15 May 2018 as part of the General Meeting in Zurich. Mr. Hardt is a member of the Managing Board of Kreissparkasse Biberach and is a well-known specialist for the German financial and real-estate markets. Significant growth of earnings before taxes to around CHF 50 million for 2017 according to preliminary figures

Peach Property Group, an investor specialising in the management of property investments in Germany with a focus on residential property, has significantly increased its revenues and earnings in fiscal year 2017 according to preliminary, unaudited figures. Earnings before taxes are likely to be around CHF 50 million – significantly above the prior-year figure of CHF 15.5 million. Apart from the strong expansion of the existing portfolio, the excellent development of the business was also driven by the successful asset management. Considerable appreciations of the properties were achieved in this way. In addition, one-off effects, most prominently currency gains in the amount of more than CHF 7 million, had a positive impact on earnings.

In 2017 the portfolio of residential units was significantly increased thanks to several transactions to around 7,000 units after 3,150 units in 2016. The lettable residential area grew to over 445,000 square metres after just under 250,000 square metres during the previous year. Rental income rose in 2017, according to the first key data, by around 77 percent to CHF 16.3 million after just under CHF 9.2 million in 2016. The rise in the target rental income as of the reporting date by more than 109 percent over the prior year to CHF 34 million is substantially higher.

According to preliminary figures, the market value of the portfolio of residential units rose to around CHF 450 million in 2017; the total portfolio had a market value of CHF 520 million on the reporting date. At the end of 2016, CHF 226 million and CHF 329 million, respectively, were reported.
On the cost side, the Peach Property Group was able to leverage the benefits of the existing operational platform and close the year with a disproportionately low increase in the cost basis by approximately 25 percent.

These figures are further evidence in support of the successful implementation of the corporate strategy which is based on the value-adding portfolio management focusing on German residential property. The 2017 profit as well as the placement of a convertible bond and a capital increase have resulted in a significant increase in equity by more than 70 percent to around CHF 250 million after CHF 148 million during the previous year. The equity ratio hence remained at more than 40 percent despite the strong growth in the total balance sheet.

For 2018, the Peach Property Group is confident that it will be able to continue the dynamic growth course with a focus on its portfolio properties in German B cities and to report a noticeable growth in rental income as a result of the full-year consolidation of the 2017 acquisitions. In 2018, the share of the development portfolio will continue to decrease. The development project “Wollerau Park” in Switzerland, which is currently under construction, will, for instance, be completed in 2018 and handed over to the buyers. At present, already more than 90 percent of the units are sold and others are reserved.

Acquisition of an additional portfolio in Bochum – number of apartments lifted to almost 7,000 units

Acquisition of 172 residential units in Bochum in form of share deal

Peach Property Group, an investor specialising in the management of residential property has notarized a purchase agreement for the acquisition of a German real estate company. As a result Peach Property Group has acquired a portfolio with 172 residential units in Bochum. The acquisition leads to an increase in Peach Property Group’s residential portfolio to 6,944 units comprising of a residential letting space of 445,280 square meters. The final acquisition this year also means that the number of apartments and the residential space in the real estate company has more than doubled since the beginning of the year. As a result of the transaction annual target rental income has increased by CHF 1 million to CHF 34 million. The transaction is scheduled to close before year end 2017.

The new residential units are located at four locations in Bochum and are in excellent building condition, which is also reflected in the attractive re-rental prices. The portfolio is 98.3 percent (and thus almost fully) let, and also includes two commercial units and 53 parking places. The current rent amounts to around CHF 1 million at present (EUR 0.85 million).
