Increase in number of apartments by 13 percent to more than 6,700 units

Acquisition of a portfolio with 793 residential units in Hesse and Thuringia to supplement the existing portfolio in the north of Hesse

Peach Property Group, an investor specialising in the management of residential property has significantly increased the number of its investment properties. The number of residential units in the total portfolio has increased by 13 percent to 6,772 units as a result of the acquisition of 793 apartments in Hesse and Thuringia. The corresponding purchase agreement has been notarised and closing is scheduled for this year. Peach Property Group has with this acquisition increased its annual target rental income by around 10 percent to a current total of CHF 33 million. The new portfolio has increased the rentable living space by 44,168 square meters or around 12 percent to a total of 434.364 square meters.

The newly acquired residential portfolio comprises 793 residential units as well as one commercial unit and 165 parking places. It expands over four locations in the east of Hesse and the west of Thuringia and is close to the residential portfolio which Peach Property Group already owns in northern Hesse. The entire number of apartments in this region has thus increased to 1,245 – all located within a radius of 40 kilometres allowing an efficient management. The region along the A4 and A7 motorways between the urban conurbations of Kassel and Erfurt benefits from a large number of companies focusing on the logistics and automotive sectors, including many companies in the future-proof e-mobility industry. Major employers such as Amazon, Deutsche Bahn, Bosch, Opel, Continental and BMW have formed centres of competence in this region and correspondingly been increasing the number employee numbers.

A substantial proportion of the new apartments have two and three rooms. As a result of a total refurbishment in 2004, the majority of the properties are in excellent condition. The new portfolio has a 93 percent occupancy level and the annual target rent totals CHF 2.8 million (EUR 2.4 million).

Acquisition of 1,100 apartments in the greater Bielefeld region

Peach Property Group increases residential portfolio to nearly 6,000 units by purchasing 1,100 apartments in the greater Bielefeld region

Peach Property Group, an investor specialising in the management of residential property is progressing rapidly with the expansion of its portfolio. A purchase agreement was notarised for the acquisition of a further 1,109 apartments in North Rhine-Westphalia and Lower Saxony. The Group’s entire residential portfolio has thus increased by 23 percent from 4,870 to 5,979 units and the lettable residential area has been expanded from 317,598 square meters to a current 390,196 square meters. It has been agreed not to disclose the purchaser or the purchase price; the transaction is expected to be closed in the first quarter of 2018.

The new residential portfolio, which also includes 116 parking places, is spread across seven locations in the greater Bielefeld agglomeration. The entire region has been enjoying substantial growth for several years, and exhibits great economic strength with unemployment of 4-5 percent. The majority of the 1,109 apartments is located in North Rhine-Westphalia, 30 units are in Lower Saxony. Most of the properties were built in the 1960s and 1970s and constantly maintained over the past; as a result, there is no maintenance backlog. Peach is planning to further increase the portfolio’s attractiveness by making targeted investments and thus leveraging the existing potential to add value. The portfolio has an average rental level of around 95 percent and generates an annual rental income of CHF 4.4 million (EUR 3.8 million). As a result of the acquisition, Peach Property Group’s annual target rental income has increased by around CHF 4.6 million or around 19 percent, now totalling CHF 30 million.

Peach Property Group with full placement of its hybrid convertible bond in the amount of CHF 59 million

Zurich, 2 October 2017 – Peach Property Group, an investor specialising in the management of residential property in Germany, has fully placed its hybrid convertible bond (ISIN 38195225/CH0381952255) at the end of the shareholders’ pre-subscription period (noon CET, 29 September 2017) with a volume of CHF 59 million. Both existing shareholders and other investors have shown great interest in subscribing for the bond, with the result that Peach Property Group topped up the target volume of the convertible bond from CHF 25 million to CHF 59 million during the subscription period.

The listing on the SIX Swiss Exchange has been submitted and provisional admission is intended for 4 October 2017. Peach Property Group will use the proceeds from the hybrid convertible bond to further expand its portfolio in line with the corporate strategy. The funds will also be applied towards repaying existing liabilities.

The hybrid convertible bond has an indefinite term and may be terminated by Peach Property Group AG no earlier than as of 30 September 2022. Until this date, the interest coupon is 3.00 percent per annum; after that, the annual interest rate will be equivalent to the 3-month LIBOR rate plus 9.25 percent. The hybrid convertible bond can be converted into registered shares of Peach Property Group AG (ISIN 11853036/CH0118530366) at a conversion price of CHF 29.50 at any time between 16 October 2017 and 30 December 2020.

Peach Property Group acquires additional residential portfolio in Germany, increasing holdings to 4,870 residential units

Zurich, 29 September 2017 – Peach Property Group, an investor specialising in the management of residential property in Germany, has further expanded its real estate holdings by buying 273 apartments in Kaiserslautern and Saarbrücken. The purchase agreement for the acquisition of the apartments, which also include 64 parking spaces, was notarized yesterday. As a result, Peach Property Group’s portfolio of residential properties grows by 6 percent to 4,870 units. Lettable residential area in total will increase by 12,544 square meters to 317,513 square meters. The apartments have been sold by a major German real estate company; it was agreed not to comment on the purchase price. The transaction is expected to close by the end of this year.

The majority of the new apartments are located in Kaiserlautern in direct proximity to the Peach Property Group’s existing portfolio. The Group’s total portfolio in Kaiserslautern has increased to a current total of more than 1,100 apartments as a result of the purchase, up from the previous around 900 units. 47 residential units in the new portfolio are located directly in Saarbrücken city center. Most of the properties have been renovated during the past few years, and are accordingly in a good structural condition. The portfolio thus also offers a higher average living quality. Around 94 percent of the portfolio is let, and it currently generates an annual rental income of CHF 1.0 million (EUR 0.9 million). Peach Property Group’s annual target rental income thus increases by around one million Swiss francs to now CHF 25.1 million.

Zurich, 20 September 2017 – Peach Property Group, an investor specialising in the management of residential property in Germany, has resolved to increase the target volume of its convertible hybrid bond (ISIN 38195225/CH0381952255) due to high demand. The Company recorded a significant volume of subscriptions shortly after the beginning of the pre-subscription period for shareholders, which runs until 29 September 2017 (noon). Shareholders and further investors have signalled great interest in subscribing for the bond. As a result, Peach Property Group AG is using its option to increase the target volume from CHF 25 million to up to CHF 59 million.

Any convertible hybrid bonds that have not been subscribed during the pre-subscription will be offered to interested shareholders and further investors. Listing on the SIX Swiss Exchange has been applied for and provisional admission is planned for 4 October 2017. The Group will use the funds from the issue of the convertible bond to further expand its real estate portfolio in line with its strategy and to repay existing liabilities.

The convertible hybrid bond has an unlimited term, and Peach Property Group AG can terminate it for the first time on 30 September 2022. Until this date the interest coupon is 3.00 percent per year, and thereafter annual interest increases to 3-month LIBOR plus 9.25 percent. Peach Property Group acquires further property portfolio in North Rhine-Westphalia

Zurich, 13th September 2017 – Peach Property Group, an investor focused on investments in residential property in Germany, today announced the acquisition of further 266 residential units in North Rhine-Westphalia, specifically 201 apartments in Bochum and 65 in Hamm. With a population of 365,000 and 180,000, respectively, Bochum and Hamm are among the 15 largest cities in North Rhine-Westphalia. Both form part of the Düsseldorf-Dortmund-Essen metropolitan area. The properties were sold by a large, regional property company, and both parties have agreed not to disclose the purchase price. The closing of the transaction is expected to take place in late November.

Comprising a living area of around 14,300 square meters, the newly acquired properties are situated close to the existing Peach Property Group portfolios in Oberhausen, Duisburg and Mühlheim. This creates synergies in managing the entire portfolio. Peach Property Group also plans to expand tenant support as part of its active asset management approach and to further enhance the already good overall state of the properties acquired through moderate modernizations. Peach Property Group also aims to reduce the current vacancy rate of 4.8 percent. The acquisition is expected to increase the annual target rent for the Group’s entire portfolio from around CHF 23.0 million to just under CHF 24.1 million. The total property portfolio of Peach Property Group increases to around 4,600 apartments as a result of the acquisition.

According to final figures Peach Property Group’s profits soar to CHF 16 million in first half-year 2017

Zurich, 22 August 2017 – Peach Property Group has quadrupled its net profits to CHF 16.0 million in the first half of 2017 according to final figures. The strong expansions to the investment portfolio as well as rental and renovation progress in asset management were the major contributors to this growth. Sales in the remaining project developments and the strong Euro also had a positive impact on earnings growth during the period under review. The Group recorded earnings before taxes of CHF 20.6 million in the first six months of 2017, which is more than two and a half times the earnings recorded in the first half-year 2016 (CHF 7.9 million). Diluted earnings per share totaled CHF 2.80 compared to CHF 0.57 in the previous year. Operating income increased to CHF 48.5 million, up from CHF 28.5 one year before.

During the period under review, Peach Property Group increased its portfolio of residential properties by 36 percent compared to the end of 2016 – up to 4,246 units. This figure includes the recent acquisition of a portfolio of 1,114 apartments, mostly located in Oberhausen close to Essen and Düsseldorf. Annualized target rent is thus up by CHF 6.1 million to a new high of CHF 22.4 million. With a share of 85 percent of the nominal rent, the portfolio is focused on residential properties offering stable values in line with the Group’s strategy. The market value of the investment portfolio increased to CHF 332 million at the end of 2017, up by 48 percent compared to the end of 2016.

The remaining project developments showed good progress. Additional apartments were sold and handed over in Hamburg, Berlin and Rorschach, which means that just 3 units are still available in these legacy projects. Sales in the “Wollerau Park” project near Zurich reached almost 80 percent in the first half of 2017. As a result of the early adaption of IFRS 15, the new revenue recognition standard, it is now possible to record the income of the units sold proportionately according to construction progress and not just when the keys are handed over as it was previously the case. This results in more balanced recording of income and earnings over the project’s duration. As a result of the sales and the adaption of IFRS 15 the percentage of development properties in the total portfolio fell to around 16 percent (compared to 24 percent at the end of the year) or CHF 62.4 million compared to 71.1 million at the end of 2016.

On the income side, the Group’s actual rental income increased to CHF 6.8 million in the first six months. This is mostly due to the integration of the portfolios acquired in 2016 and in the first half of 2017 in the Rheinland region, Kaiserslautern and Oberhausen, as well as the progress made in both renovation and reducing vacancies. Vacancies fell to 17.9 percent as of 30 June 2017 compared to 20.2 percent at the end of 2016. Total operating income increased from CHF 28.5 million in the first half-year 2016 to CHF 48.5 million. In addition to higher rental income, the contributing factors were, in particular, value increases from purchases and success in asset management as well as sales of the remaining development projects.

Efficiency gains in the property management and the further optimization of business processes have allowed Peach Property Group to maintain its operating costs at the previous year’s level of around CHF 5 million despite the continued increases to the portfolio. The repayment of both bonds in the first half of 2016, reduced refinancing and lower currency translation costs allowed a substantial reduction of financing costs in the first half of 2017 to CHF 3.6 million.

Equity and Net Asset Value (NAV) at market values totaled CHF 185.2 million on 30 June 2017, which also marks a significant increase compared to the end of 2016 at CHF 165.3 million. This corresponds to CHF 25.10 per share compared to CHF 23.25 at the end of December 2016. According to IFRS equity totaled CHF 173 million, up from CHF 149 million at end of 2016. Due to the substantial investments to the portfolio both non-current assets and total assets have increased significantly. The equity ratio is thus lower than at the end of 2016 – at market values 40.0 percent after 46.1 percent, or according to IFRS 38.3 percent after 43.5 percent.

Peach Property Group is confident that its positive business growth will continue in the remainder of 2017, however it believes that the valuation result will not grow at the same rate as in the first half of 2017. Based on the existing investment portfolio rental income will increase substantially year-on-year.

The Group’s focus continues to be on the expansion of the investment portfolio, focusing on B cities and regions in Germany in which the Group already holds properties. This allows for additional synergy effects in the management of the properties.

Peach Property Group is presenting its first half-year report 2017 in its new corporate design for the first time. This new image emphasizes the Group’s positioning as a portfolio holder for residential properties focusing on sustainable real estate products. The new claim was also created in this connection: “Growing with Values.” Peach Property Group’s new image will be rolled out step by step during the remainder of 2017 and will be accompanied by enhanced digital communication. The new website will go live in October 2017 and will in later stages be supplemented by a central rental offering for all of the Group’s available units and a state-of-the-art tenant portal.

1.   Geschäftsbericht 2012, Berichte der Revisionsstelle

1.1   Genehmigung Jahresbericht und Jahresrechnung der Peach Property Group AG sowie der Konzernrechnung für das Geschäftsjahr 2012
1.2   Konsultativabstimmung über den Vergütungsbericht 2012
1.3   Konsultativabstimmung über das Vergütungsmodell für das Jahr 2013

2.   Verwendung des Bilanzergebnisses 2012

3.   Entlastung der Mitglieder des Verwaltungsrats und der Geschäftsleitung

4.   Partielle Statutenänderungen

4.1   Der Verwaltungsrat beantragt der Generalversammlung eine Änderung des Artikels 3a der Statuten betreffend das Vorwegzeichnungsrecht bei Verwendung des bedingten Kapitals für den Erwerb bzw. die Finanzierung des Erwerbs von Grundstücken und für die Übernahme bzw. die Finanzierung der Übernahme von Unternehmen.

4.2   Der Verwaltungsrat beantragt der Generalversammlung eine Änderung des Artikels 9 der Statuten betreffend die Herabsetzung der Schwelle für Traktandierungsgesuche auf 3% der Aktien.

5.   Wahlen der Mitglieder des Verwaltungsrats

Wiederwahlen der Verwaltungsräte Dr. Christian Wenger, Dr. Thomas Wolfensberger, Peter E. Bodmer, Dr. Christian de Prati und Dr. Corinne Wohlfahrt in Einzelwahlen für eine weitere Amtsperiode von einem Jahr.

6.   Wahl der Revisionsstelle

Wiederwahl der Revisionsstelle, PricewaterhouseCoopers AG, für eine weitere Amtsperiode von einem Jahr.
